DAC Beachcroft LLP

DAC, combine in-depth sector knowledge with astute commercial awareness and global reach and are able to provide a risk management services for IT companies, including their contract review service.

This is what they have to say, “We are agile, progressive and easy to engage with. Our flexible approach to resourcing enables us to apply the right mix of legal, commercial and process skills to deliver the right outcome at the right price, depending on our clients’ individual needs”

Some of DAC’s service examples include:

  • A "Legal MOT" service, which for a one-off fee analyses tech companies' legal risks and suggests solutions how to mitigate them (e.g. by putting in place standard terms and conditions for suppliers or employment contracts, if there are none). The standard MOT costs include the provision of template contracts (an NDA, a professional services engagement letter and a consultancy contract) as well as advice on how the business’ standard contracts can be improved and how IP can be better protected.
  • A "Legal Helpdesk" service, which provides continuous legal quality assurance for a fixed monthly fee. The Legal Helpdesk is one of our most popular products. It covers an unlimited number of legal queries (covering any legal area) of up to 3 hours. This gives the business the confidence to pick up the phone and give us a call about a wide range of matters, knowing that they are not "on the clock". As such, we become prevention rather than the cure, because we are able to steer our clients away from legal problems. The Legal Helpdesk has another benefit: if it looks like a matter may exceed 3 hours, we offer a quote for the job at preferential rates. The scale of the product can be adjusted to meet requirements and costs constraints (for example, by limiting the numbers of queries, number of hours or practice areas).
  • A "Source Code Analysis" service, designed to review the source code of the software for open source code which is subject to licensing conditions which make any product into which the code is incorporated also open source. The effect would be that the software developer would not own the IP and would therefore be in breach of its warranty as to IP ownership. In our view this is a major concern as most in-house software is "infected" by open source code (particularly software from small or medium sized developers). Some open source code is dangerous and some is harmless. By addressing this risk early, the developer can extract and replace any dangerous open source code, and retain any harmless open source code.
